Our corporation was an LDM client for several months. The attorney's bio says he "advises start-up corporations from seed to sale." Great, how about advising a senior executive of a start-up that 'paying huge legal retainers and investor dividends is typically reserved for fortune 500 companies?
Before a complicated merger of 4 companies into one (frequently insolvent) shell company happened, the LDM attorney was given due diligence on the senior executive orchestrating everything, that frankly, he should have performed himself. Instead of validating it -- heck, I invited him to invalidate it -- he was dismissve and chose to look the other way. As a result, for the last 12 months, the corporation has faced total chaos and has been and under finacial strain.
If the LDM attorney had performed DD, he would have found, among other things, the executive 'entrepreneur' had no track record of success in this industry and had mutiple dissolutions with other disgruntled partners of 5-6 other businesses.
* Dissatisfaction could not be reported to this firm during the 9 months it was retained because the executive, who hired this firm, had no qualms using other people's money to pay exorbitant legal fees to LDM and other law firms. He did not relinqusih his position with the corporation till after the LDM attorney resigned. The executive of our 'start-up' corporation spent over $90K+ in legal fees in 9 months dealing with disgruntled: contractors, employees, investors & acquisition owners (awesome for LDM Law Firm's accounts receivable dept.) The disgruntled-ness was due to the ineptness and lack of integrity of the executive who had a long history of "separations" from a dozen or more angry partners.The executive was, of cousre, pleased with the LDM attorney and thanked him often for having such a huge influence on the investors investing in his vision. These unsuspecting investors invested without doing any background checks on executive because they assumed the LDM attorney performed it ahead of time.
